PARTICIPATION CONSTITUTES PARTICIPANT’S FULL AND UNCONDITIONAL AGREEMENT TO AND ACCEPTANCE OF THESE "OFFICIAL RULES".

I. CONTEST PERIOD:
"The Ultimate Online Audition Contest" (the "Contest") begins 12:00 a.m. Eastern Time ("ET"), November 20, 2011, and ends 11:59 p.m. ET, January 21, 2012 (the "Entry Period"). The Contest is sponsored by, Theatrics.com LLC, (d.b.a. Beckinfield.com) (the "Sponsor")

II. ELIGIBILITY:
The Contest is open to legal residents of the 50 United States and District of Columbia ("D.C."), who are at 13 years of age or older at time of entry. Officers, directors and employees of Theatrics.com LLC, its divisions, subsidiaries and affiliates, Compliance Sweepstakes Services LLC, and the agents, advertising, promotional and judging agencies of each of the foregoing, and any other entity or persons that develops, produces or distributes materials for or related to this Contest, and members of the immediate families (defined for these purposes as including parents, grandparents, children, grandchildren, siblings, and each of their respective spouse) or households (whether related or not) of any of the above, are NOT eligible to enter or win. The Contest is subject to all applicable federal, state, and local laws and regulations, and is void outside the 50 United States and D.C. and where prohibited by law. Winning a prize is contingent upon fulfilling all requirements set forth herein.

III. CONTEST DESCRIPTION AND TIME PERIODS:
The Sponsor of "The Ultimate Online Audition Contest" invites our subscribers (identified as a "Participant(s)," "Contestant," "You," or "Actor") to create one or more "Audition" videos. Each Audition video will be an entry into the contest. During the Contest, there will be three judged Audition Rounds ("Audition Round(s)") over a period of nine (9) weeks; one Audition Round every three weeks; six Character Roles in each Round. You may submit a video entry ("Video Entry" or Submission") in one or all three of the Audition Round Time Periods ("Time Period," "Audition Round(s)"). A new Video Entry is required for the current Audition Round Time Period. From those three Audition Rounds, eighteen actors ("First Prize" winners), six from each tri-weekly event (one First Prize winner for each Role), will be selected as Finalists ("Finalists") for the Grand Prize. A celebrity judge will choose the best actor as the Grand Prize Winner.

Each event will be comprised of the following: The contest entry and video submission upload; Popularity voting; Judge’s panel review to select First Prize winners; Verification of potential First Prize winners; Eighteen First Prize Winners Announcement; Grand Prize Winner Announcement.

IV. HOW TO ENTER CONTEST:

A. Contest Online Entry Procedure:
  • Go to the Sponsor’s website at www.theatrics.com/contest (the "Contest Site") and follow the prompts to become a Beckinfield subscriber (This is a free subscription) and create a Beckinfield Character. Your Beckinfield Character becomes your alter ego that tries out for the Role in the play. You are required to subscribe and create a Character in order to upload your digital video contest submission.
  • You may enter an online audition for one role or for all of the six roles, (teen male/female, college male/female, & adult male/female) in the fictitious play about the history of Beckinfield. The video audition will involve you reading and/or improvising for one of the roles. Role names are as follows: Bradford Beckin (male age 25 and over); Susanna Beckin (female age 25 and over); Becca Beckin (female age 13 through 24); Starla Witness (male or female any age over 13); Young Historian (male or female any age over 13). Scenarios and scripts will change every three (3) weeks during the Contest. You may enter a single video for either one or each of the six role s, but only one video per role per round. Six First Place Prize Winners (one for each role) will be chosen every three weeks. The tri-weekly winners will automatically be entered in the final runoff. Once you become a finalist you may no longer win with any other role, but there will be three winners (one per time period) playing the same role.
  • Upload your digital video on the Contest Site during one of the Contest Event Time Periods. Be creative. You may wear costumes, paint your face, your body (No Nudity), accessorize with hats, wigs, musical instruments (No Unlicensed Music), or whatever you believe will make your video stand out (No Profanity). Those who enter the Contest by the end of one of the three Contest Event Time Periods (Refer to Section III), and are in compliance with the entry process shall be considered a Contestant ("Contestant").
  • By completing the subscription registration and submitting a video, the Contestant agrees that the video conforms to the "Video Guidelines and Content Restrictions" as defined below (Section V), and that the Sponsor in their sole discretion, may remove your video at any time and for any reason, including if the Sponsor believes, in its sole discretion, that your video fails to conform to the Guidelines and Restrictions in any way, fails to conform to the Sponsor’s Terms of Use, or otherwise contains prohibited, inappropriate, offensive, infringing or otherwise, unacceptable content as determined by Sponsor, in their sole discretion, in which case your Video Entry shall be disqualified from the Contest.
  • By selecting the submit button, you certify that you have read and agree with these Official Contest Rules and understand that you may be required to sign other documents as listed in the Notification Section (Refer to Section VIII), of these Official Contest Rules.
  • IMPORTANT: Be sure to save your Video in the original format after uploading it to the Contest Site. If you are selected as a potential winner, you agree that you will provide Sponsor with your Video in its original format in order for the Video to be used in future advertising, PR or Promotions.

B. Voter Registration Procedure:
  • Anyone may vote on any entry.
  • Every video has a "Review This Video" button (the button with the stars on it). Voters use this button to rate a video from an encouraging one-star "Keep Trying," up to the highest rating of five-stars "Super Rave."
  • Friends and families have the opportunity to cast a vote via www.theatrics.com/contest ("Contest Voter Site") during one of the current Contest Audition Time Periods (refer to Section III).
  • To vote, you must register as either a "Fan" or a "Subscriber. All that is required is your email address.
  • Upon completion of registration, a Voter will be able to submit a vote. Popularity votes will be verified electronically.
  • Limit one (1) vote per person/email address for each contest video.

C. For all Entry and Voting Procedures:
    In the event of a dispute regarding any Contest Submission or Popularity Vote, the authorized account holder of the email address used to register will be deemed to be the registrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder. The Sponsor assumes no responsibility for lost, late, misdirected or damaged entries, including entries that may be delayed in transmission. No incomplete, illegible or otherwise invalid entries will be accepted. Odds of winning will depend on the quality and total number of eligible entries received.

V. VIDEO ENTRY GUIDELINES AND RESTRICTIONS

A. Guidelines:
To be eligible, the Video Entry must be submitted in accordance with the online instructions and meet the following guidelines:
  • Any Improvisational Video must be no longer than three (3) minutes in length; (If video entry is selected for appearance in this contest and entry is longer than three minutes, only the first three minutes will be judged and posted for public view);
  • The Video must be submitted through the recording or upload page on the Theatrics.com web site.
  • The Sponsor makes no guarantee that any particular device will upload successfully. Successfully submitting your Video to the Contest Site is not verification that the Video is a qualifying Video.

B. Content Restrictions:
The Video Entry must meet the following content restrictions:
  • The Contestant certifies he/she has obtained permission from all persons appearing in the Video in order to submit the Entry into this Contest; HOWEVER, ONLY THE CONTESTANT SUBMITTING THE ENTRY IS ELIGIBLE TO WIN A PRIZE;
  • The Video must not contain material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright or trademark infringement;
  • The Video must not contain brand names or trademarks other than the Theatrics.com or Beckinfield logo, and or the Contestant’s own company or organization’s name and mark;
  • The Video must not contain photos or artwork that has not been created by the Contestant;
  • The Video must be in English, and must not contain material that is inappropriate, indecent, obscene, hateful, tortuous, defamatory, slanderous or libelous;
  • The Video must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; and
  • The Video must not contain material that is unlawful, in violation of or contrary to the laws or regulations of the Sponsor and or their Privacy Policy.

VI. TERMS AND CONDITIONS OF VIDEO SUBMISSIONS:

(i) By entering, Contestant agrees to comply with Theatrics.com Terms of Use and Privacy Policy (http://www.theatrics.com/beckinfield/site/help/page/eula), and with these complete Official Rules. Contestant has all rights of ownership to their Video Submission, including without limitation, copyrights, and, that the Contestant has received prior written permission from the videographer of the Video if the Video Entry was taped by someone other than the entrant herself; (ii) publication of the Video Submission via various media including Web posting, will not infringe on any third party rights; (iii) in the event of a dispute regarding any Contest Entry, the authorized account holder of the email address used to register will be deemed to be the registrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address, and a potential winner may be required to show proof of being an authorized account holder; and (iv) Contestant will indemnify and hold harmless the Released Parties (as defined in Section XII below) from any claims and damages (including reasonable attorneys' fees) arising from or relating to the breach or alleged breach of your representations and warranties herein, your Video Submission, or your conduct in creating your Video Submission or otherwise in connection with this Contest. In addition, if you remove or edit any Video Submission before the expiration of the applicable Submission Period, or if your subscription with Theatrics.com is suspended or terminated for any reason, such Video Submission shall no longer qualify to participate in the Contest and you will be required to re-post your Video and/or obtain new subscription with Theatrics.com (as applicable) in order to make any additional Video Submissions for the Contest.

By submitting a Video Entry, the Contestant irrevocably grants Sponsor and their respective agents an unlimited, worldwide, perpetual, unconditional, gratis license and right to edit, modify, adapt, distribute, stream, post, publish, broadcast, reproduce, encode, store, copy, transmit, publicly display, exhibit, and or otherwise use or reuse (without limitation as to when or to the number of times used) the Video Submission and all elements thereof, in whole or in part, including any persons or likenesses embodied therein (in each case, as submitted or as edited/modified in any way by the Sponsor, in its sole discretion) in any way, and may use the Video Submission in any and all media, now or hereafter devised, without attribution, compensation, permission or notification to the Contestant, or any other entity, and without notice, review, or approval from Contestant or any other entity. Should Sponsor edit any such video elements, Contestant is not relieved from responsibility for compliance with these Official Rules. Upon Sponsor's request, each Contestant must provide a signed written personal release and/or license/ assignment from: (i) Contestant and all other persons who appear in the video submitted, and/or (ii) the copyright owner of any copyrighted material, including but not limited to depictions of buildings or other structures, sculpture or artwork that appears in the Video Submission, authorizing use of the video in Sponsor's and Sponsor's designees' editorial publications, advertising, marketing and promotions in any and all media now known or hereafter known throughout the world in perpetuity, without additional compensation, permission or notification, unless prohibited by law. All releases must be in the form provided by Sponsor. Contestant must provide fully completed documentation within five (5) work-days of the date notice or attempted notice is sent. Failure to provide such releases upon request may result in disqualification and the Contestant; whose Video Submission receives the next highest voting score may be deemed the alternate potential winner for the applicable prize. Released Parties (as defined in Section XIII below) are not responsible for lost, late, incomplete, invalid, un-intelligible, garbled, delayed, inaccurate or misdirected Video Submissions, videos not uploaded in accordance with instructions, or videos not received for any reason; all of which will be disqualified. Sponsor reserves the right to, but is not obligated to, monitor/screen entries prior to posting them to the Contest Site. By entering, you acknowledge that Sponsor has no obligation to use or post your submitted Video. BY SUBMITTING AN ENTRY, PARTICIPANT ACKNOWLEDGES THAT HIS/HER ENTRY MAY BE POSTED ON THE CONTEST WEBSITE LOCATED AT WWW. THEATRICS.COM OR OTHER WEBSITE(S) AUTHORIZED BY SPONSOR FOR THE CONTEST (COLLECTIVELY "THE WEBSITES"), AT SPONSOR’S DISCRETION AND CAN BE VIEWED BY OTHER WEBSITE USERS. SPONSOR MAKES NO REPRESENTATIONS, WARRANTIES OR GUARANTEES WHATSOEVER (EXPRESS OR IMPLIED) OF ANY KIND, INCLUDING THAT A PARTICIPANT’S VIDEO OR CHARACTER WILL APPEAR IN ANY PUBLIC MEDIA, OR THAT PARTICIPANT WILL RECEIVE FUTURE ACTING CONTRACTS OR ANY OTHER PROFESSIONAL OR OTHER BENEFIT OF ANY KIND BY VIRTUE OF THEIR PARTICIPATION IN THIS CONTEST.

This Contest may be cancelled in the event an insufficient number of qualified Video Entries are received that meet the minimum standards established by the Sponsor and or Judges. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to Contestants. Contest Entities and their respective parents, subsidiaries, affiliates and each of their respective officers, directors, shareholders, agents and employees, and any Internet access providers (collectively "Released Parties") are not responsible for incorrect or inaccurate entry of information, human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any telephone, computer or other network, computer equipment, software or any combination thereof, inability to access the Contest Site, for problems uploading or downloading any Contest-related materials from the website, or for late, lost, damaged, misdirected, incorrect or incomplete entry. For purposes of these Official Rules, receipt of Video Submission occurs when Sponsor's servers successfully receive the uploaded video file and record the required entry information including the following: Video Title description, Contestant’s name, phone number and email address and any other requested information on the Contest Site. Any entry information collected from the Contestant shall be used only in a manner consistent with the consent given by Participants at the time of entry, with these Official Rules, and with Sponsor’s Privacy Policy, which can be found at www.theatrics.com/beckinfield/site/joinstep2. By submitting an entry, you are authorizing the Sponsor to send you up to three (3) emails to address as entered on registration form, about its products and services. You may opt out of receiving future e-mails from Sponsor by clicking on the unsubscribe link contained in the initial e-mail. You will remain eligible for this Contest whether or not you opt out of receiving promotional e-mails from Sponsor.

Certain Video Entries may be featured from time to time on the Sponsor’s Contest Site or in advertising during the Contest Period, in Sponsor's sole discretion; being selected as a featured Video Submission is unrelated to the Judging Criteria and does not guarantee selection of a First Prize or Grand Prize Winner in the Contest.

VII. JUDGING:
Every three weeks, Finalists are selected based on the opinion of the judges. Members of the judges’ panel will make the selection of the 18 Finalists ("First Prize Winners") based on a rating system of one (1) to five (5) with five being the highest and will utilize the following criteria in their decision: (i) A compelling story (defined as a Contestant’s ability to take a role and present the copy or improv in a way that captivates and draws the judges into the performance); (ii) Is the role presented in a compelling manner? (defined as the ability to capture a viewer’s desire to want to see more of the role you have created); (iii) Reality of your performance (Do the judges believe the actor could be the role he/she is portraying); (iv) Likability of your performance (defined as your performance is interesting and entertaining); (v) Creativity of your video (Are there unique and entertaining surprises in the presentation.).

Each entry will be reviewed by a qualified panel of judges, whose decisions are final. The Finalist Prize Winners and Grand Prize Winner will be chosen based on the above criteria. Odds of winning a contest prize depend upon the number of eligible entries received. Sponsor reserves the right to select fewer than the stated number of winners, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions.

VIII. SELECTION AND NOTIFICATION OF CONTEST WINNERS:
At the conclusion of the Popular Voting and the Judges voting period, the Sponsor will tabulate the criteria-based scores. Eighteen top ranked video entries (one for each role from each three week period) will be deemed Finalists Winners ("Winners"). From the eighteen Finalists, one (1) Contestant will be selected by the Sponsor’s celebrity judge ("Celebrity Judge") to be deemed the Grand Prize Winner. Prize Winner designation is subject to maintaining compliance with these Official Rules, active subscriber status and approval by Sponsor. In the event of a tie, all tied entries will be re-judged by an additional judge selected by Sponsor, who, using the judging criteria: "Ability to capture the judge’s and audience attention", will break the tie. If Sponsor does not receive a sufficient number of eligible and qualified entries, and/or if any finalist fails to return required paperwork by February 5, 2012, Sponsor reserves the right to disqualify any Finalist and post fewer than eighteen finalist videos. Prize Winners will be announced through an announcement, at http://www.theatrics.com on or about February 14, 2012. The decisions of the judges are final and not subject to challenge and/or appeal.

The potential Winners will be notified by a phone call on or about February 7, 2012 Winners will be asked to complete and execute an Affidavit of Eligibility and Liability/Publicity Release (the "Prize Acceptance Release"), in compliance with these Official Rules. Additional forms may be required (e.g. on-camera release, assignment of copyright) at the sole discretion of the Sponsor unless prohibited by law. The signed Affidavit of Eligibility must be received from the Winner, within five (5) business days of issuance by Sponsor. If any documents sent to a potential Winner by any means are returned as undeliverable or a potential Winner fails to properly execute and return all documents described herein in the time noted, or if a potential Winner is found not to be eligible or not in compliance with these Official Rules the potential Winner will be disqualified, even if the disqualified potential Winner's name may have been shown/announced online, and the next highest scoring Contestant may be moved up, at the discretion of Sponsor and notified. No more than Eighteen (18) First Prizes and One (1) Grand Prize will be awarded. Except where prohibited by law Sponsor may announce the winners’ name and state of residence online. Contest Release Parties shall not have any responsibility or liability whatsoever for any property loss, damage, personal injury, or death, in connection with any person's participation in the Contest or any prize awarded herein.

ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST. AN ENTRANT IS NOT A WINNER OF THE PRIZE UNLESS AND UNTIL ENTRANT'S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE

IX. CONTEST PRIZES:

  • Eighteen (18) Finalists Winners, six (6) from each tri-weekly judging, will each receive one (1) $200 Gift Card or check. Total Finalist’s Prize Value is $3,600.00
  • One (1) Grand Prize Winner will receive $10,000.00 cash, round trip air fare for two to Los Angeles, CA (if needed); 2-nights / 3-days in a Beverly Hills Hotel; a Hollywood movie studio tour for two. Approximate Retail Value ("ARV") is $11,600.00
  • Total ARV of prize pool is approximately $15,200.00

X. CONTEST PRIZE CONDITIONS:
The Finalist Prize Winners and Grand Prize Winner ("Winner(s)") are Contestants who satisfy all entry requirements, which are based on final judging and agree to the following: (i) Potential Winners shall supply upon request by Sponsor, personal information for purposes of Sponsor issuing prizes, governmental reporting and/or verifying Winner’s identification; (ii) Sponsor has the right, but without obligation, to obtain information in order to disqualify a Winner based on the results thereof and/or any perceived negative conduct by a potential Winner, including, without limitation to, anything that may reflect unfavorably on the Sponsor, or any perceived breach(es) of the Contest document(s) signed by a Winner, as determined in the sole discretion of the Sponsor; (iii) The winner accepts the Contest prizes offered by Sponsor, which are nontransferable and non-refundable and must be accepted as awarded. No substitution of prize is offered, no transfer of prize to a third party is permitted and non-cash prize is not redeemable for cash value, except as determined by Sponsor in its sole discretion. Sponsor reserves the right to award a prize of equal or greater value in the event that any of the published prizes become unavailable. Any difference between the stated value of a prize and the actual value of prize will not be awarded; (iv) all federal, state and local laws and regulations apply. Prize recipient is responsible for all applicable federal, state, and local taxes on a prize; if applicable, Grand Prize Winner will receive an IRS Form1099 for the retail value of the prize; (v) upon forfeiture for any reason stated in these Official Rules, no compensation will be given except at the sole discretion of Sponsor. All additional expenses and costs not expressly listed in Sponsor’s Prize Release Contract ("Contract") are the winner’s responsibility. Unclaimed or undeliverable prizes will not be awarded after Three (3) months of Notification Date; (vi) Potential Winners must sign documents as listed in the Notification Section (Section VIII) of these Official Contest Rules.

XI. TRIP PRIZE CONDITIONS:

The Grand Prize Winner will receive a trip for two (2) to Los Angeles, CA which includes round trip economy class air fare tickets for two to Los Angeles, CA, from any major airport nearest the winner’s U.S. residence as determined by Sponsor in its sole discretion, and a Hollywood movie studio tour. A Winner who lives within a 200-mile radius of the designation, will not receive the air transportation portion of the prize, but a $500 travel allowance. The prize package also includes a 2-night / 3-day stay in a Beverly Hills Hotel with standard hotel accommodations (two rooms/double occupancy). The winner may be required to provide a credit card at the time of hotel check-in. While prize suppliers will make every effort to confirm reservations as requested, operational and/or market conditions may prevent them from doing so on the requested dates.  Travel, tickets and accommodations are subject to capacity controls, availability, blackout dates and other restrictions, all of which are subject to change at Sponsor’s sole discretion. Travel is subject to the terms and conditions set forth in this Contest, and those set forth by Sponsor’s transportation carrier(s) of choice. The Prize awarded consisting of products/services for two people require that you and your companions redeem the prize together. Travel restrictions, conditions and limitations may apply. Sponsor will not replace any lost, mutilated, or stolen travel vouchers or certificates.

All expenses not specifically mentioned herein, are not included as part of any prize package, and are solely the winner’s responsibility, including, but not limited to: hotel taxes, additional ground transportation not specified, travel insurance, room service, bag check fees, parking fees, laundry service, food, alcoholic beverages, merchandise, souvenirs, telephone calls, tips, gratuities and service charges, site-seeing excursions and any other incidental costs or expenses not identified in these Official Rules. Travel and lodging are subject to availability, and any changes made to either of these will be at the expense of the winner. Once travel commences, no stopovers are permitted; if stopover occurs, full fare will be charged from stopover point for the remaining segments, including return, of the trip. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. It is the sole responsibility of the Winner to satisfy the entry requirements of the United States and any other countries’ requirements as necessary. Winner and companions are also responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations. Sponsor is not liable for any missed prize events, opportunities or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay. No refund or compensation will be made in the event of the cancellation or delay of any transportation or other prize element except at the sole and absolute discretion of Sponsor.

Companion of winner must be at least eighteen (18) years of age as of the date of departure. Once a travel companion is selected, he/she may not be substituted, except in Sponsor's sole and absolute discretion. Travel companion must execute liability/publicity releases prior to issuance of travel documents. If Winner or travel companion is a minor, parent or legal guardian must sign and return release and accompany minor on trip. If the winner becomes disabled or cannot otherwise fully enjoy the trip prize package due to illness, Sponsor shall have the option of: (a) being relieved of liability for fulfillment of the prize award; or (b) at Sponsor's sole and absolute discretion, extending the period during which the prize may be awarded for a period equal to the duration of the prize winner's disability or illness, in which case certain prize components may not be available. The prizewinner must prove such disability by a doctor's certificate, which certificate shall be endorsed by another physician agreeable to Sponsor and winner at Sponsor's expense. The trip must be completed by December 31, 2012 or prize will be forfeited. Additional prize award details and travel information to be provided to the winner at the time of notification. The total value of the airfare, hotel accommodations, and trip extras cannot exceed $11,600.00.

XII. LIMITATIONS OF LIABILITY:
If for any reason, this Contest is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupts or affects the administration, security, fairness, integrity or proper conduct of the Contest, the Sponsor reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process (if applicable), and to cancel, terminate, modify or suspend the Contest in whole or in part, at any time, without notice and award the prizes using all non-suspect eligible entries received as of the termination/suspension date. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor also is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure or delay of any email or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof. Sponsor is not responsible for any damage to a Participant’s system, which is occasioned by participating in the Contest or by downloading any information necessary to participate in the Contest. Sponsor also is not responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error, which may occur in the processing of the Video entries in the Contest. If any provisions of the Official Contest Rules are determined by a court of competent jurisdiction to be invalid or unenforceable, such determination shall not affect the validity or enforceability of any other provision. ALL ENTRANTS ACCEPT THE CONDITIONS STATED IN THESE OFFICIAL RULES, AGREE TO BE BOUND BY THE DECISIONS OF THE JUDGES, WARRANT THAT THEY ARE ELIGIBLE TO PARTICIPATE IN THIS CONTEST AND RELEASE CONTEST ENTITIES FROM AND AGAINST ALL CLAIMS AND DAMAGES ARISING IN CONNECTION WITH THEIR PARTICIPATION AND/OR ENTRY IN THE CONTEST OR AWARDING OF OR USE OF ANY PRIZE AWARDED IN THIS CONTEST. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSORS AND THEIR LICENSEES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. ENTRANTS (OR IF ENTRANT IS NOT OF AGE OF MAJORITY IN THEIR STATE OF RESIDENCE, GUARDIANS OF SUCH) AGREE TO INDEMNIFY AND HOLD HARMLESS THE SPONSORS AND LICENSEES FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, DAMAGES OR LIABILITY (INCLUDING REASONABLE ATTORNEYS' FEES AND EXPENSES) THAT MAY BE ASSERTED AGAINST OR INCURRED BY ANY OF THEM AT ANY TIME, IN CONNECTION WITH ENTRY, OR USE THEREOF, OR BY RESPECTIVE ENTRANTS' BREACHES OF ANY AGREEMENT OR WARRANTY ASSOCIATED WITH THE CONTEST. In the event of a dispute regarding the identity of an individual who actually submitted an entry, the entry will be deemed submitted by the authorized account holder of the email account. "Authorized account holder" is defined as the natural person who is assigned to an email account by an Internet access provider, On-Line service provider or other Organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

XIII. RELEASE:
By entering, each Participant agrees to release and hold harmless Theatrics.com LLC, (d.b.a. Beckinfield.com), Compliance Sweepstakes Services LLC, their parents, affiliates and subsidiary companies, and their respective parent companies, subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective officers, directors, employees and agents (collectively, the "Released Parties") from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising in whole or in part, directly or indirectly, out of participation in the Contest or any Contest related activity; receipt or use or misuse of any prize; Released Parties' use of the rights granted herein; or for any printing, production, typographical, human, or other error in the printing, offering or announcement of any prize.

XIV. GOVERNING LAW/DISPUTES:
By participating, Entrants agree to be bound by the Official Rules, Sponsor's Website Terms of Use (if any and if applicable to Entrant's method of participating), and the decisions of the Sponsor and Administrator, which are final and binding in all respects. The Contest and these Official Rules shall be construed and governed in accordance with the laws of the State of Texas. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants, Sponsor, or the Released Parties in connection with the Contest will be governed by and construed in accordance with the internal laws of the State of Texas, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other states laws.

Except where prohibited, as a condition of participating in this Contest, the parties agree that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, or the determination of winners shall be resolved individually, without resort to any form of class action exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective. Further, in any such dispute, under no circumstances will Entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than Entrant's actual out-of-pocket expenses (e.g., costs associated with entering this Contest), and Entrant further waives all rights to have damages multiplied or increased. The arbitration shall be conducted in the State of Texas, in the City of Houston, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. The arbitrator will apply the substantive laws of the state of Texas, will issue a written decision and will have the power to award any legal remedies except as limited by these Official Rules. The parties will split the arbitrator’s fee; provided, however, if applicable law requires Sponsor to pay the arbitrator’s fee in order for the arbitration provision to be enforceable, Sponsor shall have the discretion to elect to pay such fees and proceed to arbitration. Entrant irrevocably waives any right to bring or join in any class action regarding the Contest. Judgment upon the arbitration award may be entered in any court having jurisdiction thereof. This arbitration provision shall be deemed to be self-executing, and in the event that any party fails to appear to any properly noticed arbitration proceeding, an award may be entered against such party notwithstanding said failure to appear.

BY ENTERING THE CONTEST, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (2) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS $250.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (3) ENTRANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.
